Terms and Conditions

1. Introduction:
   These Terms & Conditions govern your use of the services provided by Vision 88 ("the Company"), including but not limited to digital twin creation, surveying, and related services. By engaging our services, you agree to abide by these Terms & Conditions.

2. Service Agreement:
   The engagement of services provided by the Company constitutes a binding agreement between the client ("the Client") and the Company. All services are subject to availability and acceptance by the Company.

3. Scope of Services:
   The Company provides digital twin creation, surveying, and related services utilising advanced technology and methodologies aimed at reducing environmental impact and enhancing efficiency. The scope of services is outlined in the service agreement or project proposal provided to the Client.

4. Client Responsibilities:
   The Client agrees to provide accurate and complete information necessary for the provision of services by the Company. The Client is responsible for ensuring access to the surveying site and cooperation with the Company's personnel as required.

5. Payment Terms:
   Payment for services rendered by the Company is subject to the terms outlined in the service agreement or project proposal. Unless otherwise specified, invoices are due within 30 calendar days of issuing. Late payments may incur additional charges.

6. Intellectual Property:
   All intellectual property rights associated with the digital twin models, survey data, and related materials created by the Company remain the property of the Company unless otherwise agreed upon in writing. The Client is granted a non-exclusive license to use the deliverables for the purposes outlined in the service agreement.

7. Confidentiality:
   Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. Confidential information includes but is not limited to trade secrets, business plans, and client data.

8. Liability:
   The Company shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of its services, including but not limited to loss of data, loss of revenue, or interruption of business operations. The liability of the Company shall be limited to the fees paid by the Client for the specific services in question.

9. Termination:
   Either party may terminate the engagement of services upon written notice if the other party breaches any material term of these Terms & Conditions and fails to remedy such breach within a reasonable period. Termination shall not relieve either party of any outstanding obligations or liabilities.

10. Governing Law:
    These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from the interpretation or enforcement of these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By engaging the services of Vision 88, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions. These Terms & Conditions constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether written or oral.
